Service Agreement / Terms of Service
A website-level summary of the commercial terms normally covered by an ALIFY project agreement.
1. Scope
Services, deliverables, assumptions, exclusions, dependencies and acceptance criteria should be written in the applicable proposal or statement of work.
2. Client responsibilities
Clients are generally responsible for timely access, content, approvals, credentials, stakeholder feedback and ensuring they have rights to materials supplied for the project.
3. Fees and payment
Fees, taxes, deposits, milestones, late-payment rules and reimbursable expenses are defined in the signed commercial documents. Work may be paused where payment obligations are materially overdue.
4. Changes
Requests outside the agreed scope may require a change request, revised estimate, additional fees or schedule adjustment before work proceeds.
5. Intellectual property
Ownership and licensing of final deliverables, pre-existing tools, open-source components, third-party assets and reusable know-how should be expressly stated in the project agreement.
6. Confidentiality and data
Each party should protect non-public business information received through the engagement. Projects involving personal data or regulated information may require additional privacy, security or processing terms.
7. Warranty and support
Any warranty period, bug-fix window, maintenance arrangement, service level or ongoing support must be stated in writing. General evolution or new feature work is not automatically included.
8. Termination
Termination rights, notice, payment for work performed, delivery of completed materials and post-termination obligations are governed by the signed agreement.
